What we do:

The Financial Services, Technology, and Contracts (FSTC) division of the New York Feds legal function comprises two teams: the financial services team and the technology and contracts team. The technology and contracts team includes attorneys who focus in areas of law related to technology, innovation, software development and licensing, cybersecurity, data privacy, procurement and vendor management, and intellectual property. The Counsel will support New York Fed business lines that run critical technology products, such as payment systems and trading operations, as well as world-class economic research systems and publications.

The technology and contracts counsel selected for this position will report to the technology and contracts team lead and work with a team to provide legal support for business lines across the New York Fed including the technology group, financial services, markets, communications, real estate, economic research, and enterprise support functions. Counsel will draft and negotiate contracts for the procurement of services, data, and goods and advise business areas on issues relating to technology, intellectual property, privacy, publications, and social media.

The attorney selected for this position will be expected to work closely with other lawyers in the New York Feds legal function and will often collaborate with colleagues at other Federal Reserve Banks and the Board of Governors of the Federal Reserve System.

Your role as Counsel on the Technology and Contracts Team:

Advise on the application of relevant laws and Federal Reserve policies regarding technology issues such as software development including Agile practices and contract terms, software-as-a-service, cloud services, data management and licensing, machine learning and artificial intelligence, and open source software as they relate to goods, services, software, and data acquired or developed by the New York Fed;
Provide guidance on data management and cybersecurity policies and contract terms to manage risk and enable compliance;
Draft and review contracts and related procurement documents, assist with the development and management of template agreements, and support the preparation of requests for proposals and other procurement activities;
Provide legal support for a range of matters across New York Fed business areas, including intellectual property, real estate, publishing, and social media; and
Draft and review internal and external memoranda, agreements, and other documentation relating to the above, as well as providing advice regarding legal issues for emerging and innovative technology products and services.

What we are looking for:

Juris doctor with demonstrated expertise in advising clients with respect to technology development and transactions, cybersecurity, data licensing, cloud services (including software-as-a-service), outsourcing, and software development and licensing;

Admission to the New York State bar;
Excellent oral and written communication skills;
Demonstrated attention to detail and critical thinking;
Strong drafting skills, particularly with respect to transactional documents;
Experience negotiating commercial contracts, particularly for software development and licensing, outsourcing, and cloud services; and
A strong focus on client service.
Prior experience advising clients with respect to emerging technology in financial services, such as blockchain and distributed ledger technology is desirable but not essential.
