With direction and oversight from the Corporate Counsel, the Compliance Specialist (Contracts) will be responsible for working collaboratively with various disciplines and H2M staff and management on all matters pertaining to contract review and negotiation (RFP process) to ensure compliance and risk management initiatives. This role entails high-volume, extremely detailed, contract reading and editing work. Successful candidate will have demonstrable experience and success in reading, comprehending, and writing high-level (volume) technical/contractual/legal documents.

Job Responsibilities:

The Compliance Specialist (Contracts) will work primarily in contract administration and management but will gain familiarity with all departmental responsibilities related to compliance initiatives as needed. Specific responsibilities will include, but are not limited to:

  • Review RFP for contractual and risk management issues; work with Marketing/Proposal Team to proactively ensure review by Subject Matter Expert (i.e., Safety, Compliance, etc.); review and comprehend scope/risk by those pricing proposals; communicate with various staff to obtain the necessary contract information and make informed decisions.

  • Review RFP/RFQ, contract and related documents to identify components requiring additional attention, and coordinate further review, negotiation, and approval of those components.

  • Collaborate with project managers, client managers, and other appropriate management teams to address issues pertaining to contract review, content and administration

  • Provide input to the development and continuous improvement of contract clearance flow and electronic tracking system (Deltek). Maintain this contract management system to review, track, and audit contract-related data.

  • Monitor/audit staff compliance with contract management process (client due diligence findings, contract forms and provisions, filing and management system, etc.).

  • Working alongside project managers and others to ensure efficient use of the contract management system

  • Assist H2M staff/leaders in contract review and negotiation with a focus on the following: Overall framework (H2M forms, industry forms (AIA, EJCDC, DBIA, etc.), client forms); Completeness and content (properly expressed, scope, pricing, terms and conditions); Detailed substance of critical clauses (standard of care, risk transfer, etc.)

  • Field inquiries from staff/leaders on recommended modifications to standard terms; understand and implement appropriate level of review for such recommendations (i.e. change of payment terms might require review revisions/modifications of Acct, COO, etc.).


Education and Qualifications:


  • Bachelor's degree required.

  • Must have min7+ years' experience reviewing and editing detailed contracts with an understanding of (preferably experience with) AEC industry scopes of services and the typical alignment of risks involved in construction and environmental projects.

  • D emonstrable experience reading, comprehending, and writing technical/contractual/legal documents at high level and volume.

  • An understanding of (preferably experience with) the standard of care applicable to rendering professional services, business and AEC industry insurance and indemnification issues highly desirable.

  • Requires attention to detail, problem-solving skills, and ability to effectively communicate with stakeholders at varying levels of business.

  • Demonstrated proficiency in using (e.g. data entry, report extraction) and designing (e.g. process mapping, data modeling) databases.

  • Proficient in MS Office Suite with a willingness and ability to master new software programs quickly.
